These Terms of Use govern your access to and use of our website, including any related sub-domains (collectively, the ‘Site’), and the services provided through our platform (collectively, the ‘Services’). Correlate AI, along with its affiliates, officers, employees, and partners (referred to as ‘Correlate AI,’ ‘we,’ ‘us,’ or ‘our’), is committed to ensuring a safe and effective experience for our users. By accessing or using the Site and Services, you agree to be bound by these Terms of Use, as well as our Privacy Policy. If you do not agree to these terms, you must discontinue use of the Site and Services immediately.

We recommend reviewing these Terms of Use and our Privacy Policy regularly, as changes may occur. Your continued use of the Site and Services will constitute acceptance of any modifications to these Terms of Use.

1. Introduction

1.1 These Terms of Use (“Terms”) govern your use of thecorrelate.com (the “Site”) and its associated services. By clicking “Sign Up”, you agree to enter into a legally binding agreement with Correlate AI. Your registration and use of the Site and Services signify your acceptance of these Terms of Use. These Terms of Use apply to both registered users (those who have created an account) and unregistered visitors of our Site and Services.

1.2 If you access the Site and Services under the terms of a separate agreement between Correlate AI and an affiliated organization (referred to as a “Master Agreement”), and there is a conflict between the terms of the Master Agreement and these Terms of Use, the Master Agreement will take precedence.

1.3 You are not permitted to transfer or assign these Terms of Use, or any rights or obligations under them, either in whole or in part, without the prior written consent of Correlate AI. Any unauthorized assignment or delegation will be considered null and void. Correlate AI reserves the right to assign or transfer these Terms of Use or any rights hereunder without your consent.

2. Definitions

2.1. “User” refers to any individual or entity accessing the Site.

2.2. “Content” includes text, images, data, and other materials available on the Site or submitted by Users.

2.3. “Account” refers to the User’s personal profile on the Site, created to access and use certain features of the Site and Services.

2.4. “Services” shall mean the suite of tools, features, functionalities, and related offerings made available by Correlate AI through its website, software extensions (including browser-based tools), and other digital interfaces. These include, but are not limited to:

  1. 1. AI-generated resume analysis, feedback, and optimization;
  2. 2. personalized resume scoring and benchmarking services;
  3. 3. automated job discovery and intelligent role-matching based on user-defined preferences;
  4. 4. Application autofill functionalities for third-party job platforms; and
  5. 5. browser-integrated automation capabilities that, with the user’s authorization, interact with external websites to streamline and execute job search and application tasks.

Correlate AI reserves the right to add to, modify, or discontinue any component of the Services at its sole discretion.

2.5. “Personal Data” refers to information relating to an identified or identifiable individual that is collected, stored, or processed by the Site as outlined in the Privacy Policy.

2.6. “Contribution” refers to any idea, suggestion, document, feedback, proposal, or other material (whether in written, electronic, or verbal form) that a User submits to Correlate AI, whether through customer service interactions, surveys, feedback forms, or any other similar channels. Contributions are voluntarily provided by the User and may be related to improvements, enhancements, or general feedback regarding the Site, Services, or other aspects of Correlate AI’s offerings.

2.7. “Employer” refers to any organization, institution, government entity, company, or individual legally and voluntarily granted access to the employer platform of the Site and Services, including subsidiaries and affiliates.

2.8. “Premium Services” refers to additional features or functionalities offered by Correlate AI that may require payment or a subscription.

2.9. “Third-Party Services” refers to services, websites, or resources provided by entities other than the Site, which may be linked or integrated into the Site.

2.10. “Master Agreement” refers to any separate agreement between Correlate AI and an organization (such as a university or employer) that governs access to the Services for Users affiliated with that organization.

2.11. “Intellectual Property” refers to the patents, trademarks, copyrights, trade secrets, and other proprietary rights associated with the Site, Services, and Content owned by or licensed to Correlate AI.

2.12. “Automation Features”: Refers to Correlate AI’s tools that interact with third-party job boards and applications by accessing and operating within the user’s browser to automate job search, resume submission, and form-filling tasks.

3. User Eligibility

3.1. You must be at least 18 years old or have the legal capacity to enter into these terms, conditions, obligations, representations, and warranties set forth in these Terms.

3.2. If you are using the Site and Services on behalf of a company or other legal entity, you confirm that you have the authority to agree to these Terms on behalf of that entity. Even if your company or legal entity has a separate agreement with Correlate AI, you remain individually bound by these Terms.

4. Account Registration

4.1. You may be required to create an account to access certain features of the Site and Services. By registering, you agree to provide accurate and up-to-date information.

4.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account. You agree to implement reasonable security procedures to protect your information and must notify Correlate AI immediately in case of any unauthorized use or breach of security, including phishing incidents.

4.3. You acknowledge that enabling Automation Features requires granting permission to Correlate AI’s browser extension or desktop client to access your browser tabs and interact with job platforms. You are responsible for reviewing the terms of any third-party platforms you choose to automate.

5. User Conduct and Content Restrictions

5.1. You agree to:

  • Keep your password secure and confidential.
  • Use the Site and Services only for their intended purpose and not for any other individual or entity.
  • Provide accurate and complete information when creating your account.
  • Not charge anyone for access to any portion of the Site or Services, or any information or services therein.
  • Not engage in unauthorized data collection, including but not limited to scraping or automated scripts to extract student data, employer data, job descriptions, or other marketplace information.
  • Comply with all applicable laws, regulations, and the general conduct outlined in these Terms.
  • Not to use Automation Features in a way that violates the terms of service of any third-party website, platform, or job board. Correlate AI is not responsible for any enforcement actions or account restrictions taken by third parties as a result of such use.

5.2. Violations of these Terms may result in:

  • Immediate termination of your account.
  • Legal action against you for damages and/or criminal charges.
  • Reporting your activities to law enforcement authorities.

6. Payment and Premium Service

6.1. Premium Services require payment for access. By opting into Premium Services, you agree to pay all applicable fees (inclusive of taxes) and provide us with the necessary payment information in order to access our Premium Service and any default in payment of these fees may result in termination of your Premium Service. Additionally:

  • based on your location, your purchase may be subject to foreign exchange fees or differences in prices (e.g. exchange rates);
  • taxes are calculated based on the billing information that you provide us at the time of purchase.

6.2. If you access Premium Services through a Master Agreement (such as an agreement between Correlate AI and your organization, company, or school), the party controlling the Master Agreement may have control over premium features associated with your account, including the ability to terminate your access to such services.

DISCLAIMER AND WARRANTIES

USERS AGREE THAT USE OF THE SITE AND ITS SERVICES IS ENTIRELY AT THEIR OWN RISK. THE SITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND. CORRELATE AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE, SERVICES, AND YOUR USE THEREOF, INCLUDING BUT NOT LIMITED TO ANY AND ALL WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, SECURITY, FREEDOM FROM VIRUSES, AND NON-INFRINGEMENT OF INTELLECTUAL PROPERTY OR PROPRIETARY RIGHTS.

CORRELATE AI IS NOT AN EMPLOYMENT AGENCY OR RECRUITING FIRM AND MAKES NO REPRESENTATIONS OR GUARANTEES REGARDING THE EFFECTIVENESS OR TIMELINESS OF THE SITE OR SERVICES IN ACHIEVING YOUR EMPLOYMENT GOALS. CORRELATE AI DOES NOT GUARANTEE THAT RESUMES OR OTHER INFORMATION SUBMITTED BY YOU WILL RESULT IN YOU BEING HIRED OR THAT JOB POSITIONS WILL BE FILLED. CORRELATE AI IS NOT RESPONSIBLE FOR ANY EMPLOYMENT DECISIONS MADE BY EMPLOYERS OR OTHERS REGARDING USERS FOR ANY REASON.

Limitation of Liability

THIS SECTION SETS FORTH THE MAXIMUM LIABILITY OF CORRELATE AI UNDER THESE TERMS OF USE.

Under no circumstances shall Correlate AI be liable for any indirect, incidental, special, punitive, consequential, or exemplary damages (including, but not limited to, lost profits or damages arising from your use of, or inability to use, the Site or Services), regardless of the legal theory (warranty, contract, tort, or otherwise), and even if Correlate AI has been advised of the possibility of such damages.

Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY. IT FORMS PART OF THE AGREEMENT BETWEEN YOU AND CORRELATE AI (REFERRED TO INDIVIDUALLY AS “PARTY” AND COLLECTIVELY AS “PARTIES”) AND IMPACTS YOUR LEGAL RIGHTS. IT INCLUDES PROVISIONS FOR MANDATORY BINDING ARBITRATION AND A CLASS ACTION WAIVER.

ALL CLAIMS AND DISPUTES (EXCEPT THOSE SEEKING INJUNCTIVE OR EQUITABLE RELIEF, AS DESCRIBED BELOW) THAT ARISE OUT OF OR RELATE TO THESE TERMS OF USE, OUR PRIVACY POLICY, OR YOUR USE OF THE SITE AND SERVICES, AND WHICH CANNOT BE RESOLVED INFORMALLY, WILL BE RESOLVED THROUGH BINDING ARBITRATION ON AN INDIVIDUAL BASIS.

YOU AND CORRELATE AI WAIVE YOUR RIGHTS TO A JURY TRIAL, opting instead for arbitration to resolve disputes. If any litigation arises related to enforcing or vacating an arbitration award, YOU AND CORRELATE AI WAIVE THE RIGHT TO A JURY TRIAL in favor of having the matter decided by a judge.

General Terms

These Terms of Use, including our Privacy Policy, and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
